Terms & Conditions

These terms govern your use of Rics.app, a product of UMR Labs, of West wind point, Cha 89/4, 1st Floor, Progoti Shoroni, North Badda, Dhaka, Bangladesh ("Rics.app", "we", "us").

By creating an account or using the service you accept these terms. If you are accepting on behalf of a business, you confirm you are authorised to do so, and "you" means that business.

What the service does

Rics.app brings the messages your customers send on WhatsApp and on your Facebook pages into one shared inbox, so your team can answer them together. It also lets you record orders, keep a product list, track stock, pay your staff commission on sales, and read reports about all of it.

Your account

You need an account to use the service. When you sign up we confirm your email address and your phone number by sending a code to each.

You are responsible for everything done through your account and through the accounts of the staff you invite, and for keeping passwords private. Tell us promptly if you believe an account has been used without permission.

You must give accurate information when you register and keep it up to date. We may refuse, suspend or close an account where information is false, where these terms are broken, or where the law requires it.

Your customers' messages belong to you

The conversations, customer details, orders and files in your workspace are yours, not ours. We hold them on your behalf so the service can work. We do not sell them, and we do not use them to train artificial intelligence models.

You decide what is collected from your customers and why, and you are responsible for having the right to collect it and for telling your customers what you do with it. In data protection language, you are the controller of your customers' information and we process it on your instructions. Our Privacy Policy explains this in full.

WhatsApp and Facebook

Rics.app connects to WhatsApp and Facebook through Meta Platforms. Three things follow from that, and they are outside our control.

First, you must follow Meta's own rules as well as ours, including the WhatsApp Business Messaging Policy and the Meta Platform Terms. Meta can restrict or remove your phone number or your page for breaking those rules, and we cannot overrule that decision.

Second, Meta charges for messages and bills you directly. Those charges are a matter between you and Meta. They are not included in what you pay us, we do not collect them, and we cannot refund them. You add your own payment method with Meta, and the allowances and prices are set by Meta and change from time to time.

Third, WhatsApp only allows an ordinary reply within twenty-four hours of a customer's last message. After that, only message templates approved by Meta may be sent. Rics.app does not support template messages at present, so a conversation that has been quiet for more than twenty-four hours cannot be continued from the service until the customer writes again.

What you must not do

You must not use Rics.app to send unsolicited bulk messages, to send anything unlawful, abusive, deceptive, obscene or infringing, to impersonate anybody, to collect messages you have no right to, to attempt to reach another client's data, or to interfere with the service or test its security without our written permission.

Trials, plans and payment

Plans and their limits are shown on our pricing page. A free trial lasts for the period stated when you sign up. No payment is taken to begin a trial.

Our fees are for the Rics.app software only. Fees are stated exclusive of any taxes, duties or bank charges, which are your responsibility. Fees already paid are not refundable except where the law requires it.

We may change our prices. If a change affects a plan you are on, we will tell you before it takes effect.

When a trial or a paid period ends without renewal, your workspace becomes read only. You can still read everything in it, but new messages cannot be sent until it is renewed.

If you stop paying

Your data is not deleted when you stop paying. It is kept for a period after your subscription ends — sixty days unless we have agreed otherwise with you — so that you can return without losing anything.

During that period we will remind you several times, by email and by SMS, using the contact details on your account. After it ends, your workspace is reviewed and may be deleted. Deletion is always a decision taken by a person at Rics.app, never something that happens automatically on a date.

You may ask us for a copy of your data at any time before deletion, and we will provide it in a reasonable format within a reasonable period.

Closing your account

You may close your account at any time by telling us. Closing it removes your workspace and the data in it, and that cannot be undone.

Availability

We work to keep Rics.app running, but we do not promise that it will be uninterrupted or free of faults. The service depends on Meta's platforms, on your internet connection, and on other services outside our control, and we are not responsible when those fail, change or withdraw features.

We may change, add to or withdraw parts of the service. Where a change significantly reduces what you have been paying for, we will give you reasonable notice.

Our responsibility to you

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.

Subject to that: we are not liable for indirect or consequential loss, for loss of profits, revenue, goodwill or anticipated savings, for loss of data you could reasonably have kept a copy of, or for any loss arising from a decision made by Meta about your account, number or page. Our total liability to you in any twelve month period is limited to the fees you paid us in that period.

Changes to these terms

We may update these terms. Where a change materially affects you we will give notice through the application or by email before it takes effect. The date shown at the top of this page is when it last changed. Continuing to use the service after that date means you accept the change.

Governing law

These terms, and any dispute arising from them, are governed by the laws of Bangladesh. The courts of Dhaka, Bangladesh have exclusive jurisdiction.
